ULocals — Terms of Use

Welcome to ULocals ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the ULocals mobile application, website (https://ulocals.com), blog (https://ulocals.travel), help center (https://help.ulocals.com), and all related services (collectively, the "Services").
By downloading, accessing, or using ULocals, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Accounts
1.1 Age Requirement
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and make purchases. If you are under 18, you may only use ULocals under the direct supervision of a parent or legal guardian who agrees to these Terms and assumes full responsibility for your use.
1.2 Account Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use.
1.3 Instagram Sign-In
If you choose to sign in via Instagram, you also agree to comply with Meta's Terms of Service, and you authorize us to access limited profile information as described in our Privacy Policy.
2. Description of Services
ULocals is a smart tourism super app designed to function as a "local friend" for travelers. Our Services include:
Contextual Recommendations: AI-powered travel suggestions based on your location, weather, time, budget, dietary preferences, days remaining, and other context parameters.
Offline Mode: Core features function without an internet connection. Data is stored locally on your device and synchronized when connectivity is restored.
Safety Features: Danger zone audio alerts, mapped risk areas, safety warnings, and an emergency assistance button.
Location History: Optional saving of location history to help you navigate back to your accommodation or saved points.
Gamification: Points, badges, and rewards for visiting specific places.
Perfect Day & Top Ten: Curated itineraries and ranked local attractions.
Travel Services: Integration with third-party booking, ticketing, and transportation platforms.
Franchise Content: City-specific content curated by local franchise partners.
2.1 No Guarantee
Recommendations are curated by our team, local franchisees, and AI systems. While we strive for accuracy, we do not guarantee that any recommendation, price, route, or safety alert is always complete, accurate, or up-to-date. You are solely responsible for your travel decisions and personal safety.
3. Pricing, Payment, and Subscriptions
3.1 Pricing
ULocals operates on a pay-per-use model. Access is billed at $5.00 USD per 24-hour period ("Day Pass"), unless otherwise stated. Discounted plans may be available for extended or regular trips.
3.2 Payment Methods
We accept credit/debit cards, Pix, Pix Roaming, Boleto Bancário, and other methods as displayed at checkout. Payments are processed by third-party payment providers. We do not store full payment card details on our servers.
3.3 Promotions
Promotional offers (e.g., "First Month Free" for Instagram followers) are subject to specific terms displayed at the time of the offer. We reserve the right to modify or discontinue promotions.
3.4 Gift Cards
ULocals Gift Cards are subject to separate terms issued at purchase. Gift Cards are non-refundable unless required by law.
3.5 No Subscription Lock-In
ULocals does not require a recurring subscription. Each Day Pass must be actively purchased. The purchase of a second Day Pass is considered validation that the Service was useful to you.
3.6 Taxes
All fees are exclusive of applicable taxes, duties, or levies, which are your responsibility.
4. User Content and Conduct
4.1 User Content
You may submit photos, reviews, saved places, check-ins, and other content ("User Content"). You retain ownership but grant ULocals a worldwide, royalty-free, sublicensable license to use, display, modify, and distribute your User Content for the operation and promotion of the Services.
4.2 Representations
You represent that your User Content does not violate any third-party rights, is not defamatory or unlawful, and that you have obtained all necessary consents (including from individuals depicted in photos).
4.3 Prohibited Conduct
You agree NOT to:
Use ULocals for illegal, fraudulent, or harmful purposes.
Circumvent safety alerts or interfere with emergency features.
Harass, abuse, or harm other users, locals, or franchise partners.
Reverse-engineer, decompile, or attempt to extract source code.
Upload malware, spam, or unauthorized automated systems (bots).
Use the emergency button for non-emergency purposes.
4.4 Enforcement
We reserve the right to remove User Content, suspend accounts, or terminate access for violations of these Terms.
5. Intellectual Property
All content, software, trademarks, logos, and materials provided by ULocals (excluding User Content) are owned by or licensed to us and protected by intellectual property laws. The ULocals name and mark are registered with INPI (Brazilian National Institute of Industrial Property). You may not use our trademarks without prior written consent.
6. Third-Party Services and Integrations
ULocals integrates with third-party services, including but not limited to:
Maps & Location: Google Maps, Waze, Maps.me APIs.
Events & Ticketing: Sympla, Eventbrite, Live Nation.
Accommodation & Transport: Booking.com, Trivago, Airbnb, Uber, 99, Buser.
Weather: Clear Outside Weather API.
Government Data: Data Rio, CadasTur.
Social: Instagram (Meta).
Your use of third-party services is governed by their respective terms. ULocals is not responsible for the practices, content, or availability of third-party platforms.
7. Franchise Model and Local Curators
ULocals operates under a franchise model where local curators ("Franchisees") manage city-specific content. By using ULocals in a franchised city, you acknowledge that local recommendations, pricing, and safety information may be provided by independent Franchisees. ULocals is not liable for acts or omissions of Franchisees, though we require compliance with our quality and safety standards.
8. Disclaimers and Limitation of Liability
8.1 As Is Basis
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULOCALS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Travel Risk Acknowledgment
Travel involves inherent risks. ULocals provides information and safety alerts as a convenience, but we are not a travel agency, tour operator, or emergency response service. We do not guarantee your safety in any location. You assume full responsibility for your choices, routes, and activities.
8.3 Emergency Button
The emergency button is a tool to facilitate communication. It does not constitute a contract for emergency services. Response times and effectiveness depend on local infrastructure and authorities. Always contact local emergency services (e.g., 190 in Brazil) directly when possible.
8.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULOCALS' TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ULOCALS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
8.5 Excluded Damages
IN NO EVENT SHALL ULOCALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
You agree to indemnify, defend, and hold harmless ULocals, its affiliates, Franchisees, officers, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, or your violation of these Terms.
10. Termination
We may suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law principles. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Rio de Janeiro, RJ, Brazil, unless prohibited by local consumer protection laws in your jurisdiction.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the app or email at least 30 days before taking effect. Continued use after changes constitutes acceptance.
